Terms of Service

These Terms of Service ("Terms") govern your access to and use of services, products, websites, tools, content, and deliverables provided by BUILDAI LIMITED ("BUILDAI", "we", "us" or "our"), a company incorporated in Hong Kong.
By requesting, purchasing, accessing, or using our services, you agree to these Terms. If you are using our services on behalf of a company or organization, you confirm that you have authority to bind that company or organization to these Terms.
If you enter into a separate signed agreement, quotation, statement of work, order form, invoice, or project proposal with BUILDAI, that document will apply in addition to these Terms. If there is any conflict, the signed agreement or written project document will prevail for the relevant service.
1. Our Services
BUILDAI provides technology services and digital products for business clients and individual users, including:
- AI system design and implementation;
- AI agent setup, configuration, and deployment;
- Workflow automation;
- System integration;
- Internal knowledge base and document automation;
- AI-assisted reporting and operational tools;
- Technical consulting and project advisory;
- Maintenance, managed support, hosting, and related services;
- Digital products, templates, prompt packs, online courses, memberships, subscriptions, AI tools, and other consumer-facing products or services.
The exact scope, deliverables, timeline, fees, and responsibilities for a customized project will be set out in the relevant quotation, invoice, proposal, statement of work, or written agreement.
2. Business and Consumer Users
Some services are designed for business clients, while others may be offered to individual consumers.
If you purchase as a business client, you are responsible for ensuring that the purchase is authorized by your company or organization and that all information provided to BUILDAI is accurate and lawful.
If you purchase as an individual consumer, certain terms may apply differently to you, and nothing in these Terms affects any statutory rights that cannot be excluded or limited under applicable law.
3. Accounts and Access
Some services may require an account, login, subscription, membership, product access link, workspace, or third-party platform account.
You agree to provide accurate account information, keep your login credentials secure, and notify us promptly if you suspect unauthorized access.
You are responsible for all activity under your account unless caused by BUILDAI's fault or a security failure within BUILDAI's reasonable control.
BUILDAI may suspend or restrict account access where reasonably necessary for security, non-payment, suspected misuse, legal compliance, or breach of these Terms.
4. Client and User Responsibilities
You agree to:
- Provide accurate, complete, and timely information required for the service;
- Review and approve deliverables, drafts, or project decisions within a reasonable time;
- Ensure that any data, content, documents, systems, credentials, or instructions you provide may lawfully be used for the service;
- Maintain proper backups of your own systems, files, and data;
- Use our services only for lawful purposes;
- Comply with applicable laws, regulations, and third-party platform terms.
For customized projects, delays caused by incomplete information, delayed feedback, unavailable systems, access restrictions, non-payment, or scope changes may affect the timeline, fees, and deliverables.
5. Fees, Payment, Subscriptions, and Renewals
Fees will be stated in the applicable invoice, checkout page, quotation, order form, subscription page, or agreement. Unless otherwise stated:
- Fees are payable in Hong Kong dollars or the currency shown at checkout or on the invoice;
- Payment is due according to the invoice, checkout, or subscription terms;
- Fees are exclusive of bank charges, payment processing fees, currency conversion costs, withholding taxes, and other third-party charges;
- Late payment may result in suspension of work, access, support, or delivery.
BUILDAI may require upfront payment, deposits, milestone payments, recurring subscription fees, or renewal fees depending on the service.
If you purchase a subscription, membership, hosting plan, managed support plan, or recurring access service, it may renew automatically unless cancelled before the renewal date according to the applicable terms shown at purchase or in your account.
You are responsible for cancelling subscriptions before renewal if you do not wish to continue. Refunds and cancellations are handled according to our Refund Policy and any applicable service-specific terms.
6. Taxes
You are responsible for any taxes, duties, levies, withholding taxes, or government charges applicable to your purchase, except for taxes based on BUILDAI's own income.
Hong Kong does not currently impose VAT or GST on standard services. However, customers outside Hong Kong should consider any local tax, withholding, reporting, or reverse-charge obligations that may apply in their own jurisdiction.
7. Customized Projects, Scope, and Changes
For customized services, the project scope will be defined in writing. Any request that is outside the agreed scope may require a separate quotation, change order, timeline adjustment, or additional fee.
BUILDAI is not required to perform out-of-scope work unless both parties agree in writing.
Project deliverables may include documents, configurations, workflows, automations, code, integrations, reports, prototypes, AI agent settings, prompts, technical materials, or other project outputs.
Unless a different acceptance process is agreed, customized project deliverables will be considered accepted when:
- You confirm acceptance in writing;
- You use the deliverable in production, business operations, or real service use; or
- You do not report any material issue within 7 calendar days after delivery.
Minor issues, enhancement requests, cosmetic preferences, or new feature requests will not prevent acceptance if the deliverable substantially conforms to the agreed scope.
8. Digital Products and Online Access
Digital products may include templates, prompt packs, downloadable files, online courses, memberships, software access, AI tools, automations, documentation, and other digital materials.
Digital products and online access are licensed, not sold, unless expressly stated otherwise. Subject to your payment and compliance with these Terms, BUILDAI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the relevant product for your own personal or internal business purposes.
You must not resell, redistribute, sublicense, publicly share, copy for commercial resale, reverse engineer, scrape, or misuse any digital product, course, template, prompt pack, AI tool, or online content unless expressly permitted in writing.
9. AI-Specific Limitations
AI systems may generate inaccurate, incomplete, outdated, biased, unexpected, or unsuitable outputs. BUILDAI does not guarantee that any AI output will be error-free, legally compliant, commercially optimal, or suitable for every use case.
You are responsible for reviewing AI outputs before relying on them, especially for legal, financial, medical, regulatory, employment, compliance, safety-critical, or high-risk decisions.
Unless expressly agreed in writing, BUILDAI's services do not include legal advice, financial advice, investment advice, regulated advice, accounting advice, tax advice, medical advice, or compliance certification.
10. Human Review and High-Risk Use
You agree not to use AI systems, automations, digital products, or deliverables provided by BUILDAI as the sole basis for high-risk decisions without appropriate human review.
High-risk decisions include, without limitation, decisions involving financial transactions, legal obligations, employment, credit, insurance, regulated services, personal safety, access to essential services, sensitive personal data, or material business commitments.
11. User Content and Client Data
You may provide data, documents, prompts, messages, files, images, business materials, workflow descriptions, or other content to BUILDAI or through our services ("User Content").
You retain ownership of your User Content, subject to any rights you grant us under these Terms or a separate agreement.
You grant BUILDAI a limited right to use, process, transmit, store, and display User Content as reasonably necessary to provide, secure, support, troubleshoot, improve, and operate the relevant services.
You confirm that you have all rights, permissions, and lawful basis needed to provide User Content to BUILDAI. You must not provide unlawful content, infringing content, confidential third-party information without authorization, or unnecessary sensitive personal data.
12. Third-Party Services
Our services may involve third-party platforms, APIs, AI model providers, cloud services, software tools, payment providers, communication platforms, analytics providers, or data sources.
Your use of third-party services is subject to their own terms, pricing, limitations, availability, security practices, and data policies. BUILDAI is not responsible for third-party service interruptions, price changes, policy changes, model behavior, data loss, security incidents, or restrictions outside our reasonable control.
You are responsible for obtaining and maintaining any required third-party accounts, licences, subscriptions, permissions, and API access unless otherwise agreed.
13. Credentials and Security
You should not send passwords, API keys, private keys, access tokens, or sensitive credentials through unsecured channels.
Where credentials are required, both parties should agree on a secure method for access sharing. BUILDAI may refuse to handle credentials through insecure methods.
You remain responsible for your own internal access controls, user permissions, endpoint security, backups, and account management.
14. Intellectual Property
Unless otherwise agreed in writing:
- BUILDAI retains ownership of its pre-existing tools, templates, know-how, methods, reusable code, internal libraries, prompts, processes, training materials, digital products, and general expertise;
- You retain ownership of your pre-existing data, documents, brand materials, business information, personal content, and User Content;
- Upon full payment, business clients receive a non-exclusive, non-transferable licence to use project deliverables for their internal business purposes;
- Individual users receive a non-exclusive, non-transferable licence to use purchased digital products or services for their own personal or internal business use;
- Custom deliverables created specifically for a client may be assigned or licensed under separate written terms.
Nothing in these Terms transfers ownership of BUILDAI's background intellectual property unless expressly stated in a signed written agreement.
15. Confidentiality
Each party may receive confidential information from the other party. The receiving party must use confidential information only for the relevant service and must take reasonable steps to protect it from unauthorized access, use, or disclosure.
Confidential information does not include information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.
16. Personal Data and Privacy
Each party shall comply with applicable data protection laws, including the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong where applicable.
Our handling of personal data is described in our Privacy Policy. You must ensure that you have the right to provide any personal data to BUILDAI for the purposes of the service.
17. Acceptable Use
You must not use our services, products, website, tools, or deliverables to:
- Violate any applicable law or regulation;
- Infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- Process unlawfully obtained data;
- Create malware, phishing, spam, fraud, deception, credential harvesting, or harmful automation;
- Conduct unauthorized surveillance, profiling, scraping, or data extraction;
- Generate or distribute illegal, harmful, abusive, hateful, harassing, or exploitative content;
- Circumvent security, access controls, rate limits, platform rules, or legal restrictions;
- Resell, redistribute, or commercially exploit our services or digital products without written permission.
BUILDAI may suspend or terminate services if we reasonably believe the services are being used for unlawful, harmful, prohibited, abusive, or high-risk purposes.
18. Warranties, Disclaimers, and Statutory Rights
BUILDAI will provide services with reasonable skill and care.
To the fullest extent permitted by law, our services, products, and deliverables are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, error-free results, specific business outcomes, revenue increases, cost savings, model accuracy, platform availability, or compatibility with all future third-party changes.
Nothing in these Terms excludes, restricts, or modifies any statutory rights, consumer guarantees, or remedies that cannot be excluded, restricted, or modified under applicable law.
19. Limitation of Liability
To the fullest extent permitted by law, BUILDAI shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary losses, including loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings.
For business clients, unless otherwise agreed in writing, BUILDAI's total aggregate liability arising out of or relating to the services shall not exceed the fees actually paid by the client to BUILDAI for the specific service giving rise to the claim during the three months immediately before the event giving rise to liability.
For individual consumers, BUILDAI's liability is limited only to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
20. Refunds and Cancellation
Refunds and cancellations are governed by our Refund Policy and any applicable signed agreement, quotation, statement of work, invoice, checkout terms, subscription terms, or product-specific terms.
21. Suspension and Termination
BUILDAI may suspend or terminate services, accounts, access, or support if:
- Payment is overdue;
- Required information, access, or cooperation is not provided;
- The service creates legal, security, regulatory, ethical, or operational concerns;
- You materially breach these Terms;
- You misuse our services, digital products, systems, or third-party platforms;
- Continuing the service would expose BUILDAI, you, other users, or third parties to unreasonable risk.
Termination does not affect accrued payment obligations, confidentiality obligations, intellectual property rights, limitations of liability, or any terms intended to survive termination.
22. Age Requirement
Our services are intended for business clients and individual users who are able to enter into a valid contract. Our services are not directed to children under the age of 18.
By using our services, you confirm that you are at least 18 years old or have the consent and supervision of a parent or legal guardian where permitted by applicable law.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of Hong Kong.
The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong.
24. Changes to These Terms
BUILDAI may update these Terms from time to time. The updated version will be posted on our website with the revised "Last updated" date.
If changes are material, we may take reasonable steps to notify users, such as by posting a notice on our website or sending a service notice where appropriate.
